PLEASE READ THIS “LEGAL DISCLAIMER” CAREFULLY. NOTHING IN THIS DOCUMENT CONSTITUTES LEGAL, FINANCIAL, TAX OR OTHER PROFESSIONAL ADVICE. BEFORE PARTICIPATING IN THE X1 ECOCHAIN NODE SALE OR ACQUIRING ANY X1-RELATED DIGITAL RIGHTS, YOU SHOULD CONSULT YOUR OWN LEGAL, FINANCIAL AND TAX ADVISORS.

In this document, the term “Company” refers to the entity or group of entities responsible for developing, maintaining and operating the X1 EcoChain network and any related infrastructure and services (collectively, the “X1 EcoChain Network”).

The “X1Node Licenses” or “X1Nodes” refer to any licenses, NFTs, access rights, or other digital instruments that enable you to run, activate or participate in X1 EcoChain validator/validator-like nodes, whether physical or virtual.

1. Purpose of the Project and Nature of X1Nodes

1.1. By accessing the Node Sale interface or acquiring any X1Node Licenses, you acknowledge and agree that such licenses are obtained solely for the purpose of:

• participating in the X1 EcoChain Network as a node operator or supporter,

• contributing to the decentralization, security and performance of the network, and

• accessing infrastructure-related features, tools and services made available to node operators from time to time,

• and not for speculative investment or as a purchase of securities or other regulated financial instruments.

1.2. The distribution of X1Node Licenses is designed to support the growth and decentralization of the X1 EcoChain Network, which is positioned as an energy-efficient, Web4-ready Layer 1 powered by household and professional nodes. It is not designed or intended as an offering of equity, debt, investment contracts, or any other form of regulated security.

1.3. The Company does not act as your financial, investment, tax or legal advisor and does not assume any fiduciary duty towards you.

2. No Advice, Recommendations or Guarantees

2.1. No information contained in:

• the X1 EcoChain website(s),

• any Node Sale interface,

• whitepapers, pitch decks, technical documentation, blog posts, FAQs, social media content, AMAs, presentations or other materials (collectively, the “Materials”),

shall be construed as:

• legal, tax, financial, accounting, investment, or other professional advice,

• a recommendation to buy, sell or hold any digital asset, including future X1 coins,

• an offer or solicitation to engage in any investment activity.

2.2. Any references to:

• potential rewards or incentives for node operators,

• future network usage, adoption or transaction volumes,

• staking, fees, commissions, or network-derived value,

are descriptive only and represent forward-looking objectives or protocol design intentions, not guarantees, promises, or commitments by the Company.

2.3. You must not rely solely on the Materials when deciding whether to participate in the Node Sale or run a node. Independent research, due diligence and consultation with professional advisors are strongly recommended.

3. Eligibility, Age and Legal Compliance

3.1. By accessing the Node Sale or acquiring any X1Node Licenses, you represent and warrant that:

• you are at least 18 years old or have reached the age of legal majority in your jurisdiction (whichever is higher); and

• you have full legal capacity to enter into binding agreements under the laws applicable to you.

3.2. You are solely responsible for understanding and complying with all laws, regulations and rules applicable to you, including, without limitation:

• regulations regarding virtual assets, coins and decentralized networks,

• securities, commodities and derivatives regulations,

• tax obligations and reporting requirements,

• foreign exchange and capital control restrictions,

• anti-money laundering (AML), counter-terrorist financing (CTF) and sanctions rules.

3.3. If participation in the Node Sale, acquisition of X1Node Licenses, or use of the X1 EcoChain Network is restricted, prohibited, or requires prior authorization under the laws applicable to you, you must not participate, or you must first obtain all necessary approvals.

3.4. The Company may, at its sole discretion, restrict or deny access to the Node Sale or related services for residents, citizens or persons located in certain countries or territories (for example, jurisdictions subject to comprehensive sanctions or strict virtual asset regulations). You are responsible for checking any such restrictions and complying with them.

4. Status of Materials – No Offer, No Solicitation

4.1. The Materials are provided for informational purposes only. They do not constitute:

• a prospectus, offering document or registration statement,

• an offer to sell or a solicitation of an offer to buy securities, financial instruments or other regulated products,

• an invitation or inducement to engage in investment activity.

4.2. Any decision to acquire X1Node Licenses shall be based only on the specific terms and conditions presented to you at the time of purchase (such as terms of sale, user agreements, or other binding documentation) and not on any general Materials or marketing content.

4.3. No oral or written statements made by the Company, its team members, advisors or community representatives in interviews, AMAs, calls or conferences shall be construed as:

• a legal commitment,

• a guarantee of future performance, token issuance, token listing, price, or liquidity,

• or a promise of any kind of return, yield or profit.

5. Your Representations and Warranties

By using the Node Sale interface or acquiring X1Node Licenses, you represent, warrant and undertake that:

5.1. You do not rely solely on any forward-looking statements, projections, or marketing claims in the Materials for your decision to participate.

5.2. You have conducted your own independent review of X1 EcoChain, including its technology, roadmap, team, economic design and risk profile.

5.3. You understand that:

• running a node involves operational, technical and economic risks,

• future protocol parameters (e.g., reward rates, fees, penalties, coin supply dynamics) may change by governance decisions or technical upgrades,

• nothing guarantees any particular outcome or performance of the network.

5.4. You are not participating on behalf of any other person unless you are legally authorized to do so and such participation is compliant with all applicable laws.

5.5. You are not a person or entity with whom the Company is prohibited from dealing under applicable sanctions laws or other restrictions.

6. No Warranties; Limitation of Liability

6.1. The X1 EcoChain Network, the Node Sale interface, X1Node Licenses and all related services are provided on an “AS IS” and “AS AVAILABLE” basis, without any warranties or representations of any kind, whether express or implied, including, without limitation:

• warranties of merchantability, fitness for a particular purpose, non-infringement, or title;

• warranties regarding uninterrupted, secure, or error-free operation;

• warranties concerning accuracy, completeness or timeliness of any information.

6.2. To the maximum extent permitted by applicable law, the Company and its affiliates, directors, officers, employees, contractors and agents shall not be liable for any:

• indirect, incidental, special, consequential, punitive, exemplary or similar damages;

• loss of profits, revenue, business, data, goodwill or opportunity;

• loss or theft of private keys, credentials or access to wallets;

• damages resulting from bugs, exploits, protocol failures, attacks, forks, technical errors, or regulatory actions,

arising out of or in connection with your participation in the Node Sale, operation of X1Nodes, use of the X1 EcoChain Network, or reliance on the Materials.

6.3. You participate in the Node Sale and operate X1Nodes entirely at your own risk, including the risk of losing some or all of the funds used to acquire X1Node Licenses and any associated rewards.

7. Legal Status of X1Nodes and Related Digital Assets

7.1. X1Node Licenses and any related NFTs or digital rights:

• are intended to represent access rights or functional licenses within the X1 EcoChain Network;

• are not equity, debt, loans, deposits, investment contracts or any form of ownership interest in the Company or its affiliates;

• do not entitle you to dividends, profit-sharing, voting rights in the Company, or any ownership of assets of the Company.

7.2. X1Node Licenses:

• may or may not have secondary market value;

• may be illiquid or non-transferable depending on technical design and applicable law;

• are not guaranteed to be redeemable or buyable back by the Company.

7.3. Any future X1 coins or network tokens, if and when issued, will be subject to their own tokenomics and governing documents. Nothing in this Disclaimer guarantees:

• that such coins will be issued,

• that you will receive any particular number of coins,

• that such coins will be listed on any exchange,

• or that such coins will have any particular price, liquidity or utility.

7.4. Any rewards or emissions to node operators, if applicable, are subject to change and are determined by protocol rules, governance decisions, and network conditions. There is no guarantee of any minimum or fixed rate of return.

8. Secondary Markets and Liquidity

8.1. The Company is not obligated to create, support or maintain any secondary market for X1Node Licenses, NFTs or related digital assets.

8.2. If any secondary trading of X1Node Licenses or related digital assets occurs on third-party marketplaces or platforms, such activities:

• are not controlled, endorsed or guaranteed by the Company,

• may be subject to additional terms and legal requirements imposed by those platforms,

• are undertaken at your own risk.

9. Language; Priority of Versions

9.1. This Disclaimer may be made available in multiple languages. In case of any ambiguity, conflict or inconsistency between the English version and any non-English version, the English version shall prevail, unless otherwise mandated by applicable law.

9.2. By participating in the Node Sale or acquiring X1Node Licenses, you confirm that you:

• have sufficient understanding of the language of the version you read; and

• accept that the English version is the controlling version in case of dispute.

10. Intellectual Property and Use of Materials

10.1. All intellectual property rights in and to the Materials and the Node Sale interface (including but not limited to trademarks, logos, text, graphics, code and designs) are owned by or licensed to the Company.

10.2. You may use the Materials for personal, non-commercial, informational purposes only. You may not copy, modify, distribute, reproduce, or publicly display the Materials, in whole or in part, without the prior written consent of the Company, except where such use is clearly permitted by law.

11. Changes and Updates

11.1. The Company may update, modify or replace this Disclaimer and other relevant documents from time to time, including to reflect:

• changes in the X1 EcoChain Network design or roadmap,

• updates in legal or regulatory requirements,

• feedback from legal counsel or regulators.

11.2. Any such changes shall become effective upon publication on the official X1 EcoChain channels unless otherwise indicated. Your continued access to or participation in the Node Sale or use of X1 EcoChain after such changes constitutes your acceptance of the updated terms.
